Terms of service

Agreement

These Terms of Service ("Terms") govern access to and use of the Listful website at listful.so, Listful-hosted application programming interfaces ("APIs"), the Listful Chrome extension, and related documentation and support (together, the "Services"). By installing the extension, creating or using an account, or otherwise using the Services, you agree to these Terms and to our privacy policy. If you do not agree, do not use the Services.

Definitions

• You means the individual or legal entity agreeing to these Terms.
• Content means information made available through the Services, including configuration you supply (for example webhook URLs) and data processed in the course of exporting lists you can already access in your browser.
• Third-party platform means any site, application, or service not operated by Listful that you connect to or interact with through the Services (including LinkedIn and the Chrome Web Store).

Eligibility and accounts

You represent that you are at least the age of majority where you live and have authority to bind yourself or the organization you represent. If you use magic-link or other sign-in features, you are responsible for safeguarding access to your email and any devices where the Services remain installed or signed in. Notify us promptly at support@listful.so if you believe an account or device has been compromised.

License to use the Services

Subject to these Terms, Listful grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. You will not (and will not permit others to): copy, modify, or create derivative works of the Services except as allowed by applicable law; rent, lease, sell, resell, or sublicense the Services; reverse engineer, decompile, or attempt to extract source code from the Services except where such restriction is prohibited by law; interfere with or disrupt the integrity or performance of the Services; probe, scan, or test the vulnerability of the Services without prior written authorization (responsible disclosure coordinated through our security page is welcome); or use the Services to build a competing product or service.

Service description

Listful provides browser-assisted export tooling for LinkedIn list pages you can already access, with pagination and CSV assembly coordinated through Listful's backend as described on /features. Optional signed-in features (for example webhook configuration in settings) may be offered during beta without charge, as described on /pricing. Features, limits, and availability may change as we ship updates.

Third-party platforms

The Services may interoperate with third-party platforms. Listful is not affiliated with, endorsed by, or sponsored by LinkedIn, Google, or other third parties whose sites or policies you encounter while using the Services. You are solely responsible for complying with each third-party platform's terms, acceptable use policies, and applicable law. Third parties may change or restrict access at any time; Listful does not control those platforms and is not liable for their actions, including enforcement against your accounts or data. How session material and exports are handled is summarized in our privacy policy.

Fees, taxes, and changes

Core CSV export through the extension is offered without a per-row fee in the current release, as described on /pricing. Listful may introduce paid plans or usage-based fees for cloud features in the future. Unless stated otherwise at checkout, fees are quoted exclusive of taxes, and you are responsible for any applicable taxes. If we introduce fees for features you already use, we will give reasonable advance notice before charging you.

Acceptable use

You agree not to use the Services to:

• Violate law or third-party rights, including privacy, publicity, or intellectual property rights.
• Harass, spam, defraud, or mislead others, or send unsolicited bulk communications using data obtained through the Services.
• Circumvent technical limits, security controls, or access controls of the Services or any third-party platform.
• Run LinkedIn automation (for example automated clicking, messaging, or connection requests) through or alongside the Services.
• Collect or process special categories of personal data where doing so through the Services would be unlawful without a valid legal basis and appropriate safeguards.

You will comply with LinkedIn's terms and applicable law when using exported data. We may suspend or terminate access if we reasonably believe you have breached these Terms or create risk or possible legal exposure for Listful or others.

Intellectual property

Listful and its licensors own all rights, title, and interest in and to the Services, including software, branding, and documentation. Except for the limited license above, no rights are granted to you. If you provide suggestions or feedback about the Services, you grant Listful a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without obligation to you.

Confidentiality

If you receive non-public information about Listful's business or technology marked as confidential or that a reasonable person would consider confidential, you will use it only as needed to use the Services and will protect it using reasonable care.

Term and termination

These Terms apply from your first use of the Services until terminated. You may stop using the Services at any time. We may suspend or terminate access to all or part of the Services for operational, legal, or security reasons, or if you materially breach these Terms. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTFUL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LISTFUL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. LINKEDIN AND OTHER THIRD PARTIES MAY CHANGE UNDERLYING INTERFACES; EXPORTS OR FEATURES MAY STOP WORKING UNTIL REPAIRED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTFUL AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF LISTFUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LISTFUL'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID LISTFUL FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS LISTFUL'S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence where such a limitation is unlawful.

Indemnification

You will defend, indemnify, and hold harmless Listful and its affiliates, directors, officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Content, your violation of these Terms, or your violation of third-party rights or applicable law.

Export and sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive sanctions or embargoes where use of the Services would be prohibited, and that you are not on any restricted party list maintained by a government authority. You will comply with applicable export control and sanctions laws.

Consumers in the EEA and UK

If you are a consumer in the European Economic Area or the United Kingdom, mandatory consumer protection laws in your country may apply alongside these Terms where they cannot lawfully be waived. Nothing in these Terms limits those rights.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-law principles. Except where prohibited by applicable law, you and Listful consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Services. You may have additional rights depending on your location; nothing here is intended to deprive you of protections that cannot be waived by contract.

Miscellaneous

• Changes. We may modify these Terms by posting an updated version on this page. If a change is material, we will make reasonable efforts to notify you (for example by email or in-product notice). Continued use after the effective date constitutes acceptance of the updated Terms.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with the privacy policy and any order form or supplemental terms we expressly agree to in writing, constitute the entire agreement between you and Listful regarding the Services.
• Severability and waiver. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of our right to enforce it later.
• Notices. We may send notices to the email associated with your account or through the Services. You may send legal notices to support@listful.so.
